THIS TERMS OF USE AGREEMENT (the “Agreement”) is a binding contract between DESIGNFLARE, a sole proprietorship organized under the laws of the state of California (“Designflare”) and the client, whether personally or on behalf of an entity (“Client”), concerning access and use of Designflare’s website: https://www.designflare.com (the “Website”). If you disagree with any part of these terms, you must stop using the Website immediately. Any unpaid obligations to Designflare remain enforceable.
1. Intellectual Property Rights
The Website and its content, including trademarks, are owned by Designflare, protected by copyright, trademark, and other intellectual property laws. Use of the Website's content without Designflare's express written permission is prohibited.
2. Ownership of Materials
All design files created for Client are owned by Client. Designflare may share Client's design work publicly unless otherwise specified in section 18.
3. Third-Party Fonts
If a design uses fonts requiring a commercial license, Designflare will notify the Client. The Client is responsible for purchasing necessary licenses.
4. User Representations
By using the Website, Client confirms they are legally capable of agreeing to these terms and will comply with all applicable laws.
5. Prohibited Activities
Clients must not misuse the Website or infringe upon Designflare's rights.
6. Client Feedback
Feedback or submissions from Clients become the property of Designflare, except as specified in section 2.
7. Management and Oversight
Designflare may monitor the Website for violations and restrict or deny access at its discretion.
8. Privacy Policy
By using the Website, Client agrees to Designflare's Privacy Policy.
9. Returns and Refunds
Refunds are at Designflare's discretion. A 25% fee may apply to approved refunds.
10. Modification
Designflare may modify the Website or these terms at any time.
11. Connection Interruptions
Designflare does not guarantee uninterrupted access to the Website.
12. Governing Law
These terms are governed by California law.
13. Litigation
Legal actions will be brought in California courts.
14. Disclaimer
The Website is provided "as-is". Designflare disclaims all warranties.
15. Limitations of Liability and Indemnification
Designflare is not liable for damages arising from the Website's use. Clients must indemnify Designflare against claims related to their use of the Website.
16. User Data
Clients are responsible for their data. Designflare is not liable for data loss.
17. Electronic Communications
Clients consent to electronic communications and electronic signatures.
18. Showcasing Design Work
Designflare may showcase design work unless otherwise agreed upon.
19. Referrals
Referrals are managed through Rewardful.com.
20. Miscellaneous
These terms constitute the entire agreement between Client and Designflare.
